Between Bauer's Brew Co. LLC ("Provider") and the person or organization requesting service ("Client"). The event details, price and dates are those shown in Client's Coffee Bar quote as confirmed by Provider.

1 · Acceptance

Client agrees to these terms when submitting the Coffee Bar quote. After Provider confirms the date, Provider sends this Agreement filled in with the confirmed event details for Client to review and sign. It becomes binding when both Parties have signed and Client pays the deposit. The price shown online is final unless the event details Client entered are inaccurate or change.

2 · Deposit + payment

2.1 Provider sends Client one PayPal invoice for the total. A non-refundable deposit of at least 25% of the total (minimum $100), paid on that invoice, is due at signing and reserves the date. It is applied to the total.

2.2 The balance is due on the same invoice no later than seven (7) days before the event. If the event is booked fewer than seven (7) days in advance, the full total is due at booking.

2.3 If Client pays by purchase order, a signed purchase order replaces the deposit, and payment is due within fifteen (15) days after the event.

2.4 If payment is not received on time, Provider may, after notice to Client, release the date and cancel this Agreement. Accepted payment: card, PayPal or Venmo through the invoice, or Zelle. No checks.

3 · Changes, cancellation + weather

3.1 Changes to date, time, location, guest count or add-ons must be sent in writing no later than ten (10) days before the event. Before then, the price updates to Provider's published pricing for the new details. After then, increases are subject to availability and reductions do not reduce the price.

3.2 Client may cancel in writing no later than seven (7) days before the event and receive a refund of all amounts paid except the deposit. After that, payments are non-refundable; Provider will work in good faith to reschedule within six (6) months, subject to availability.

3.3 If Provider cancels for any reason other than Client's breach, Provider refunds all amounts paid, including the deposit, which is Client's sole remedy.

3.4 Outdoors: Client will designate a covered or indoor backup area with outlet access. Provider may pause or relocate service in unsafe conditions. If service cannot proceed and no backup is available, the Parties will reschedule in good faith; if no date can be agreed, amounts paid for unperformed services are refunded.

3.5 Provider is not responsible for delays outside its reasonable control and will communicate any expected delay promptly.

4 · Site, service + food safety

4.1 Client provides a level area of about 10 × 10 ft within reach of a standard 110V outlet, safe access, convenient parking or loading, and restroom access. Outdoors, Client also provides clearance for Provider's 10 × 10 ft canopy.

4.2 Electricity is required. Client will provide a working standard outlet within reach of the setup area for the full service time. If power is not available on arrival, Provider may be unable to serve, and this is not a breach by Provider.

4.3 Service is not unlimited. Provider plans quantities from experience based on the guest count, event type and service time provided. If an item runs out, Provider offers the closest alternative; this is not a breach. The Pour-Over Experience includes up to 25 hand-poured cups; hot decaf is provided in the half-gallon quantity ordered.

4.4 Provider does not serve espresso. Signature drinks and COLD'SPRESSO drinks are made with Provider's brewed coffee and cold brew.

4.5 Client obtains any venue approvals and sends any required vendor forms at least five (5) business days before the event.

4.6 Beverages may contain or contact common allergens, including dairy, soy, tree nuts, oats and syrup ingredients. Provider cannot guarantee an allergen-free environment. Client will inform Provider in advance and inform guests; guests should tell the barista about relevant allergies.

4.7 Beverages are intended for consumption during the service window.

5 · Insurance, tax + liability

5.1 Provider carries general liability insurance through Great American Insurance Group and will email a Certificate of Insurance on request.

5.2 Prices include New York State and local sales tax for the event location.

5.3 Each Party will indemnify the other from third-party claims to the extent caused by its own negligence, willful misconduct or breach.

5.4 Provider is not liable for injury, loss or damage at the event location not caused by Provider's negligence or willful misconduct. Client is responsible for its guests' conduct and any damage they cause to Provider's equipment.

5.5 Except for gross negligence or willful misconduct, neither Party is liable for indirect or consequential damages, and Provider's total liability will not exceed the total price.

6 · General

6.1 Neither Party is liable for failure to perform caused by events beyond its reasonable control; the Parties will reschedule in good faith, or refund amounts paid for unperformed services.

6.2 Provider may photograph its setup for marketing, but will not publish identifiable guests or Client's name or logo without consent.

6.3 Provider is an independent contractor.

6.4 This Agreement and Client's confirmed Coffee Bar quote are the entire agreement; amendments must be in writing (email is sufficient).

6.5 New York law governs. Disputes will be brought in the state courts located in Suffolk County, New York.

6.6 Electronic signatures have the same effect as handwritten signatures. The person signing represents that they are at least 18 and authorized to bind Client.
